Terms of Service

These terms govern your access to and use of Mission Team. By creating an account or using the Service, you agree to the terms below. Please read them carefully, including the sections on billing and auto-renewal, the medical and HIPAA disclaimer, the limitation of liability, and binding arbitration.
1. Acceptance & eligibility
These Terms of Service (the “Terms”) form a binding agreement between you and Mission Team Inc. (“Mission Team,” “we,” “us,” or “our”) governing your access to and use of the Mission Team application, website, and related services (collectively, the “Service”). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.
2. Description of the Service
Mission Team is a coordination and logistics tool for organizing medical, surgical, and community-service mission trips. It helps teams manage members, patient and client records, supplies, schedules, flights, and team messaging in one place. The Service is a software platform for planning and administration. It is not a medical device, electronic health record (EHR) system, or provider of medical, legal, or professional advice. We may add, modify, suspend, or discontinue any feature of the Service at any time.
3. Accounts & security
Authentication and account management are provided through our third-party identity provider, Clerk. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it current. You are responsible for the members you invite to your teams and trips and for the permissions you grant them. Notify us promptly at the contact address below if you suspect any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your credentials.
4. Subscriptions, billing & auto-renewal
Certain features of the Service require a paid subscription, billed on a per-member seat basis. Standard pricing is US$5 per member per month or US$40 per member per year. Team leaders are not charged a seat fee. Payments are processed by our third-party payment processor, Stripe. We do not collect or store full payment-card numbers.
Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate, using your payment method on file, until you cancel. You authorize us and Stripe to charge your payment method on a recurring basis. You may cancel at any time through your account settings; cancellation stops future renewals, and your paid access continues through the end of the current paid period. Except where required by applicable law, all fees are non-refundable and we do not provide refunds or credits for partial periods, unused seats, or unused features. We may change our prices or fee structure, and will provide reasonable advance notice of any increase that would apply to your next renewal; your continued use after the change takes effect constitutes acceptance of the new pricing. You are responsible for any taxes associated with your subscription other than taxes on our net income.
5. Customer content & license
You retain ownership of the information, records, files, images, and other materials you and your team submit to the Service (“Customer Content”). You grant Mission Team a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and transmit Customer Content solely as needed to operate, maintain, secure, and provide the Service to you and your authorized team members, to create backups, and to comply with the law. This license ends when you delete the relevant content or close your account, except for residual copies retained in backups for a limited period or as required by law.
6. Customer responsibility for data
You are solely responsible for the accuracy, quality, legality, and appropriateness of all Customer Content and for the manner in which you acquire and use it. You represent and warrant that you have all necessary rights, permissions, and consents — including any patient, client, or individual consents required by applicable law — to collect, enter, store, and process the information you place into the Service, and that doing so does not violate any law or any third party's rights. You are responsible for determining whether the Service is appropriate for your intended use and for complying with all laws and regulations applicable to your activities.
7. Acceptable use
You agree not to, and not to permit anyone to: (a) use the Service for any unlawful, harmful, fraudulent, or infringing purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems, or probe, scan, or test the vulnerability of any system or network; (c) interfere with or disrupt the integrity or performance of the Service, including through denial-of-service activity or introducing malware; (d) access or scrape data you have not been authorized to access; (e) reverse engineer, decompile, or attempt to derive the source code of the Service except to the extent such restriction is prohibited by law; (f) resell, sublicense, or provide the Service to third parties except your authorized team members; or (g) upload content that is unlawful, defamatory, or that you lack the right to share. We may investigate and take appropriate action, including suspension or termination, for any violation.
8. Intellectual property
The Service, including all software, source code, designs, text, graphics, user interfaces, logos, trademarks, and the “Mission Team” name and brand, is owned by Mission Team Inc. or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. We welcome feedback and suggestions; if you provide them, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
9. Third-party services
The Service relies on third-party providers, including Clerk (authentication), Stripe (payment processing), Bunny CDN (image storage and delivery), and MongoDB Atlas (database hosting). Your use of the Service may be subject to those providers' terms, and their performance is outside our control. We are not responsible for the acts, omissions, availability, or policies of third-party services, and your use of them is at your own risk.
10. Medical & HIPAA disclaimer
Mission Team is a coordination and logistics tool only. It is nota medical device, an EHR, a clinical decision-support system, or a provider of medical advice, diagnosis, or treatment. Nothing in the Service should be relied upon as a substitute for professional medical judgment, and you must never rely on the Service for emergency or time-critical clinical decisions. Our reference to being “HIPAA-aligned” describes operational practices we apply to the handling of operational trip data; it is not a certification, legal advice, or a guarantee of compliance with the Health Insurance Portability and Accountability Act (“HIPAA”) or any other law. You are solely responsible for compliance with HIPAA and all other laws applicable to protected health information (“PHI”), including obtaining all required patient and individual consents and ensuring you have a lawful basis to enter and process any health-related data. No Business Associate Agreement (“BAA”) or similar arrangement applies to your use of the Service unless we have separately executed one with you in writing. Absent such a signed agreement, you agree not to submit PHI in a manner that would require a BAA, and you assume all responsibility and risk for any health-related data you choose to enter.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, MISSION TEAM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR PRESERVED. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MISSION TEAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN US.
13. Indemnification
You agree to defend, indemnify, and hold harmless Mission Team and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your Customer Content; (b) your use of the Service; (c) your violation of these Terms or of any law or third-party right, including any failure to obtain required consents or to comply with laws governing PHI; or (d) your activities in connection with any mission trip.
14. Suspension & termination
We may suspend or terminate your access to the Service, in whole or in part, at any time if you violate these Terms, fail to pay fees when due, or create risk or possible legal exposure for us or other users, or as needed to comply with the law. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ends, and we may delete Customer Content after a reasonable period, subject to our backup and legal-retention practices. Sections that by their nature should survive termination — including content licenses you granted, disclaimers, limitations of liability, indemnification, and dispute provisions — will survive.
15. Governing law & venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you and Mission Team agree that the exclusive venue for any dispute not subject to arbitration will be the state and federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.
16. Binding arbitration & class-action waiver
Please read this section carefully — it affects your legal rights. You and Mission Team agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property or unauthorized-access matters. The arbitration will be administered by a recognized arbitration provider under its applicable rules, and will take place in Dallas County, Texas, or by remote means. You and Mission Team agree to bring claims only in an individual capacity and waive any right to participate in a class, collective, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding. You may opt out of this arbitration agreement by sending written notice to the contact address below within 30 days of first accepting these Terms; if you opt out, the governing-law and venue section above will apply. If any portion of this section is found unenforceable, the remainder will remain in effect, except that the class-action waiver is non-severable as to claims otherwise subject to arbitration.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice as appropriate. Changes are effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
